USER AGREEMENT FOR EVENTSMINT.COM ("EM PORTAL")

1. GENERAL PROVISIONS
1.1. Welcome to EM Portal, located at eventsmint.com (hereinafter — "Portal"). The Portal provides a web interface for interaction
with publicly available cryptocurrency APIs, including but not limited to trading APIs, bots, monitoring tools, and other services
(hereinafter — "Services").
1.2. This user agreement (hereinafter — "Agreement") governs the conditions of Portal use and is a legally binding contract between you
(hereinafter — "User" or "you") and the Portal administration (hereinafter — "Administration", "we", "us", or "our"), representing
the company that manages the Portal (hereinafter — "Company").
1.3. By using the Portal (including but not limited to accessing it, registering, authorizing, or performing any actions),
you confirm that:
- You are 18 years old or the age required for full legal capacity in your jurisdiction;
- You have fully reviewed this Agreement and unconditionally accept its terms;
- You have all necessary legal capacity and authority to enter into this Agreement.
If you do not agree with any provision of the Agreement, you must immediately stop using the Portal.
1.4. We reserve the right to modify this Agreement at any time at our sole discretion without prior notice. The updated version
takes effect from the moment of publication on the Portal. By continuing to use the Portal after such changes, you confirm
your agreement with the new version. You are obligated to regularly review the Agreement for updates.
1.5. Portal Services are not intended for use by persons or entities in jurisdictions where access to such services is restricted
or prohibited (hereinafter — "Restricted Jurisdictions"), including but not limited to the United States of America (USA),
the European Union (EU), and countries under sanctions imposed by the USA, EU, United Kingdom, or other bodies (see section 8).
If you are such a person or are acting on their behalf, use of the Portal is strictly prohibited.
2. PORTAL SERVICES
2.1. The Portal provides a graphical interface (GUI) for interaction with publicly available RPC nodes, API endpoints, and other tools
that may simplify management and monitoring of user cryptocurrency operations, including functions for broadcasting signed messages,
trading bots, and other services.
2.2. The Portal is not a cryptocurrency exchange, broker, payment institution, or other financial intermediary. We do not accept, store,
process, or control user digital assets (cryptocurrencies). All transactions with digital assets are performed exclusively by users
through third-party services outside the Administration's control.
2.3. The Portal may provide information, links, tools, and interfaces for accessing third-party services and technologies.
The Administration is not responsible for the accuracy, relevance, availability, security, or results of using such third-party
resources. The user assumes all risks associated with using third parties and must review their terms.
2.4. All actions, operations, or transactions performed by the user through the Portal or third-party resources are at their own risk.
The Administration is not responsible for any losses resulting from such actions.
2.5. The Portal does not provide financial, investment, tax, legal, or other advisory services. We make no guarantees regarding the
profitability, success, or security of operations performed using the Services. Any information on the Portal is not a recommendation
or call to action.
2.6. The Administration does not guarantee continuous Portal operation and reserves the right to modify, suspend, or terminate Services
at any time without notice and without any liability to the user.
3. USER RESPONSIBILITIES
3.1. The user confirms that:
- They are aware of the risks associated with using cryptocurrencies, including volatility, susceptibility to hacking attacks,
and potential losses;
- They are solely responsible for all consequences of using the Portal, including financial losses, technical failures, or
violations of law.
3.2. The user must comply with all applicable laws and regulations of their jurisdiction, including but not limited to anti-money
laundering laws, taxation, sanctions, and export controls.
3.3. The user is fully responsible for protecting their authentication credentials (passwords, API keys, private keys, seed phrases, etc.).
The Administration does not request, store, or control such data. In case of loss, theft, or compromise, all responsibility
and risks lie exclusively with the user.
3.4. The user confirms that all funds used in transactions through the Portal are obtained from lawful sources and are not associated
with illegal activities, including Restricted Jurisdictions or sanctions lists.
3.5. The user is solely responsible for calculating, declaring, and paying all taxes related to their activities on the Portal or
through third-party services. The Administration is not obligated to notify, collect, or transfer taxes on the user's behalf.
4. PROHIBITED ACTIONS
4.1. The user is prohibited from using the Portal for:
- Violating laws of any jurisdiction, including but not limited to money laundering, terrorist financing, fraud, or other
illegal activities;
- Market manipulation of cryptocurrencies (for example, Pump-and-Dump, wash trading, spoofing, front-running);
- Bypassing access restrictions (for example, via VPN) from Restricted Jurisdictions;
- Unauthorized access to Portal or third-party data, systems, or networks, including distribution of malware (viruses, trojans, etc.);
- Discrediting, threatening, or insulting the Administration, other users, or third parties;
- Any actions that the Administration considers violating the Agreement, third-party rights, or law.
4.2. Manual entry of addresses in the browser address bar on Portal pages is prohibited. Violation results in an automatic 7-day ban
without refund of subscription fees.
4.3. Payment for a subscription from an account (public wallet address) that will not be used for subsequent trading is prohibited.
Authentication and authorization are performed exclusively from the address from which payment was made.
4.4. Modification of comments or transaction amounts generated for subscription payment is prohibited. Upon violation, funds are not
refundable.
4.5. The Administration reserves the right to immediately restrict or terminate a user's Portal access without notice and without
compensation in case of violation of this section. This does not affect the user's ability to manage their funds through third-party
wallets.
5. ACCESS TERMINATION AND RESTRICTION
5.1. The Administration may at any time and at its sole discretion suspend, restrict, or terminate a user's Portal access (including
account blocking) without notice and without liability if:
- User actions violate the Agreement or applicable law;
- There are suspicions of fraud, money laundering, market manipulation, or other illegal activities;
- The user uses the Portal from a Restricted Jurisdiction or violates sanctions regimes;
- Technical failures, security threats, or other circumstances requiring restrictions arise.
5.2. The Administration is not responsible for any losses incurred by the user as a result of such actions. The user can independently
close open orders through third-party platforms (for example, gmgn.ai or pump.fun) using their non-custodial wallet (for example, Phantom).
6. LIABILITY LIMITATION AND DISCLAIMER
6.1. The Portal, its Services, and content are provided "as is" and "as available" without any warranties, express or implied,
including warranties of merchantability, fitness for a particular purpose, or non-infringement of rights.
6.2. The Administration does not guarantee uninterrupted, accurate, complete, secure, or reliable Portal operation. We are not obligated
to fix errors, bugs, or ensure continuous Service availability.
6.3. The Administration, its affiliated entities, partners, employees, agents, contractors, and successors (hereinafter — "Portal Parties")
are not responsible for any losses (direct, indirect, incidental, special, punitive, lost profit, etc.) resulting from:
- Use or inability to use the Portal;
- Actions or inactions of third parties (including RPC node failures, API failures, hosting failures, or other services);
- Technical failures, hacking attacks, viruses, or malware;
- Loss of access to private keys, seed phrases, passwords, or API keys;
- Changes in cryptocurrency rates, market factors, or legislation;
- Any user decisions or actions.
6.4. The Portal does not request or store user private keys or seed phrases. In case of loss, theft, or compromise, all responsibility
lies with the user. The user confirms understanding non-custodial wallet principles and commits to independently ensuring their data security.
6.5. The Portal does not provide financial, investment, tax, or legal advice. Any information on the Portal is not a recommendation,
and the user makes decisions at their own risk.
6.6. The user agrees to defend, indemnify, and hold harmless Portal Parties from any claims, lawsuits, losses, expenses (including
reasonable attorney fees) related to Portal use, Agreement violation, or user actions.
6.7. To the maximum extent permitted by law, the total liability of Portal Parties to any user is limited to an amount equivalent to
the daily subscription fee (0.05 SOL). If law does not permit such limitation, liability is limited to the minimum permissible amount.
6.8. Complete disclaimer. The user expressly agrees to use the Portal solely at their own risk. Under no circumstances are Portal Parties
responsible for any losses, damage, lost profit, data loss, reputation damage, or other consequences arising directly or indirectly from:
- Portal access or use;
- Inability to access or use the Portal, including interruptions, delays, errors, or failures;
- Use of any materials, information, or Services available on the Portal;
- Actions of other users, third parties, third-party services, or organizations;
- Any events beyond reasonable Portal Parties' control, including but not limited to force majeure, network failures, hosting failures,
software failures, blockchain failures, RPC failures, API failures, or malicious attacks.
Portal use does not create a partnership, agency, trust, or employment relationship between the user and the Administration.
The user acknowledges being fully responsible for their decisions, actions, and consequences of Portal use.
The Portal is provided exclusively for informational, experimental, and research purposes, is not a final-licensed product,
and may contain bugs, errors, vulnerabilities, and undocumented behavior. The user understands that the Portal may be modified,
restricted, or closed at any time and waives any claims arising from such termination or modification.
7. PRIVACY POLICY AND DATA USE
7.1. The Privacy Policy published on eventsmint.com governs the collection and use of user data. Use of the Portal means agreement
with its terms.
7.2. The Portal may collect minimal technical information (IP address, visit time, device identifiers, etc.) for analytics and
Service improvement.
7.3. API keys are saved only for user convenience and may be deleted at any time through bot settings (Mira or Rigel).
The Administration is not responsible for API key use or compromise. It is recommended to delete them after each session.
8. USERS FROM RESTRICTED JURISDICTIONS
8.1. Portal Services are prohibited for use by citizens, residents, registered entities, or organizations from the USA, EU,
and countries under sanctions from the USA, EU, United Kingdom, or other bodies (for example, Russia, Iran, North Korea, etc.),
or persons on sanctions lists (hereinafter — "Prohibited Persons").
8.2. Use of the Portal by Prohibited Persons or from Restricted Jurisdictions is strictly forbidden. The user confirms they are not
a Prohibited Person and are not acting on their behalf.
8.3. Any attempts to bypass restrictions (for example, via VPN) are Agreement violations. The Administration may immediately block access
without refunding subscription fees.
8.4. The Administration is not responsible for user violations of Restricted Jurisdiction laws when using the Portal contrary to
these restrictions.
9. TERMINATION OF USE
9.1. The user may stop using the Portal by deleting their account through the feedback form signed with the wallet associated with
the account.
9.2. The Administration may at any time terminate or suspend a user's Portal access without notice, compensation, or liability if
it deems it necessary.
10. DISPUTE RESOLUTION AND JURISDICTION
10.1. This Agreement is governed by the laws of the Argentine Republic (Supreme Court of Argentina) without regard to conflict of law principles.
10.2. All disputes are first subject to resolution through negotiation. The user must notify the Administration of the dispute through
the feedback form. If the dispute is not resolved within 60 days, either party may initiate arbitration.
10.3. If disputes cannot be resolved through negotiation, they are subject to resolution through arbitration in Buenos Aires, Argentina,
in accordance with the International Chamber of Commerce (ICC) rules. Arbitration is conducted in English by a single arbitrator.
The arbitrator's decision is final and binding.
10.4. Claims must be filed within one (1) year from the date the cause of action arises, otherwise they are considered barred.
10.5. The user waives the right to class actions and jury trial. All disputes are handled individually.
11. FINAL PROVISIONS
11.1. This Agreement, together with the Privacy Policy, constitutes the complete agreement between the user and the Administration,
superseding all previous understandings.
11.2. If any Agreement provision is found invalid, the remaining provisions remain in effect.
11.3. Non-use of Administration rights does not mean waiver of those rights.
11.4. All requests are directed through the feedback form on eventsmint.com.
11.5. By continuing to use the Portal, you confirm your complete agreement with this Agreement.
