REFERRAL PROGRAM TERMS FOR EM PORTAL

1. GENERAL PROVISIONS
1.1. The Referral Program (hereinafter — "Program") is designed to motivate and popularize the EM Portal service
(hereinafter — "Portal").
1.2. This user agreement (hereinafter — "Agreement") governs the conditions of Portal use and is a legally binding contract between you
(hereinafter — "User" or "you") and the Portal administration (hereinafter — "Administration", "we", "us", or "our"), representing
the company that manages the Portal (hereinafter — "Company").
1.3. By using the Portal or participating in the Program (including registration, authorization, use of referral links, receiving rewards,
or any other actions), you confirm the following:
- You are 18 years old or of legal age as established in your jurisdiction.
- You have fully read, understood, and unconditionally accept all terms of this Agreement.
- You have all necessary legal capacity and authority to enter into this Agreement.
- You are not a citizen or resident of jurisdictions where Portal use is prohibited or restricted, including but not limited to
the United States of America (USA), the European Union (EU), or countries under sanctions from the USA, EU, United Kingdom,
or other international bodies.
If you do not agree with any provision of the Agreement, you must immediately stop using the Portal.
1.4. The Administration reserves the right to modify or supplement this Agreement at any time at its sole discretion.
The updated version takes effect from the moment of publication on the Portal. By continuing to use the Portal after changes,
you express agreement with the new version. You are obligated to regularly check the Agreement text for updates.
1.5. Portal Services are not intended for persons or entities from jurisdictions where access to such services is prohibited or restricted
(hereinafter — "Restricted Jurisdictions"). These include but are not limited to the USA, EU, and countries under international sanctions.
If you are in such a jurisdiction or are acting on behalf of its resident, Portal use is prohibited.

2. CONDITIONS FOR PARTICIPATION IN THE REFERRAL PROGRAM
2.1. Persons over 18 years of age are eligible to participate in the Program.
2.2. The wallet used to connect to the Program must have more than 1 SOL (Solana tokens).
Explanation: This requirement is introduced to confirm that the account is active and belongs to a real user.
Having a minimum token balance helps prevent abuse such as creating multiple fake accounts by bots or scammers,
and ensures good faith participation in the Program.

3. REWARD ACCRUAL PROCEDURE
3.1. Rewards are accrued when a referral registers using your unique referral link at the moment the referral pays for a Portal
subscription to access its functionality.
3.2. The amount of payment to the ambassador is 10% of the tokens paid by the referral for the subscription.
3.3. The number of referrals an ambassador can attract is unlimited.

4. AMBASSADOR REWARD PAYMENT PROCEDURE
4.1. To receive payment, the ambassador's wallet must have at least 1 SOL at the time of payment processing.
4.2. Payments for rewards accrued during the previous day are processed automatically at the beginning of the next day.
4.3. If at the time of payment the ambassador's wallet balance is less than 1 SOL, payment is not made, and rewards accumulated
during the day are burned without the possibility of recovery.
4.4. In case of technical error during payment (with more than 1 SOL in the wallet and accrued funds from referrals),
the ambassador may contact the Administration through the feedback form on the Portal's main page. The request must be sent
from the same wallet connected to the referral program, specifying the problem details.

5. DISCLAIMER
5.1. Portal Services are provided on an "as is" and "as available" basis without any warranties, express or implied, including
warranties of fitness for specific purposes, merchantability, or non-infringement of third-party rights.
5.2. The Administration does not guarantee uninterrupted, secure, or error-free Portal operation. The user assumes all risks
associated with Portal use.

6. LIABILITY LIMITATION
6.1. The Administration, its affiliated entities, employees, agents, or partners are not responsible for any losses (direct, indirect,
incidental, special, or consequential), including lost profit, data loss, or business interruption, arising from or related to
Portal use or inability to use it, even if the Administration was notified of the possibility of such losses.
6.2. The Administration's maximum liability is limited to the amount of a single subscription payment actually paid by the user for
Portal use (if any). Otherwise, the Administration bears no financial responsibility.

7. CLASS ACTION EXCLUSION
7.1. The user agrees that any disputes or claims related to this Agreement or Portal use are handled exclusively on an individual basis.
The user waives the right to participate in class, group, or representative actions. Any attempts to combine claims with other users
are considered invalid.

8. ARBITRATION AGREEMENT
8.1. All disputes arising from this Agreement or Portal use are subject to mandatory resolution through arbitration in accordance with
the arbitration rules of the Argentine Republic.
8.2. Arbitration is conducted in Buenos Aires, Argentina, with one arbitrator appointed according to the specified rules.
The arbitrator's decision is final and not subject to appeal.
8.3. Each party bears its own arbitration costs unless the arbitrator determines otherwise. The user waives the right to court proceedings
in favor of arbitration.

9. APPLICABLE LAW
9.1. This Agreement is governed by the laws of the Argentine Republic without regard to conflict of law principles. All matters not
covered by the Agreement are resolved in accordance with Argentine law.

10. TAX OBLIGATIONS
10.1. The user is fully responsible for determining, declaring, and paying all taxes, fees, and other government payments related to
receiving rewards through the Portal in accordance with their jurisdiction's laws.
10.2. The Administration does not provide tax advice, does not withhold taxes on the user's behalf, and is not responsible for their
tax obligations.

11. FORCE MAJEURE
11.1. The Administration is not responsible for non-performance or delay in fulfilling Agreement obligations caused by circumstances
beyond reasonable control, such as natural disasters, wars, terrorist acts, strikes, internet failures, blockchain network failures,
hacking attacks, or legislative changes.

12. DATA PROTECTION
12.1. The Administration processes user personal data in accordance with applicable data protection laws. Details are provided in the
Privacy Policy available on the Portal.
12.2. By accepting the Agreement, the user agrees to the Privacy Policy terms.

13. USER RESPONSIBILITY FOR DATA PROVISION
13.1. The user is fully responsible for the accuracy and completeness of all data provided during registration and Portal use,
including but not limited to age, citizenship, place of residence, and jurisdiction information.
13.2. If false or inaccurate data is provided, the user must compensate the Administration for any losses, fines, or other expenses
arising from such violation, including legal costs.
13.3. The Administration reserves the right to suspend or terminate a user's Portal access if inaccurate or false data is discovered,
without prior notice and without refunding any funds.

14. WAIVER OF RIGHTS
14.1. The Administration's non-exercise of any right or remedy under the Agreement does not mean waiver of such right.
The Administration retains the ability to apply any protective measures at any time.

15. AGREEMENT COMPLETENESS
15.1. This Agreement, including references to other documents (User Agreement and Privacy Policy), constitutes the complete agreement
between the user and the Administration and supersedes all previous understandings.

16. SEVERABILITY
16.1. If any Agreement provision is found invalid or unenforceable, it is excluded, and remaining provisions remain in effect,
preserving the original intent of the parties.

17. AGREEMENT LANGUAGE
17.1. The Agreement is composed in English. If translations exist, the English version has priority.
